Welcome to Retrospective of Jupiter Crowd

These terms and conditions outline the rules and regulations for the use of RoJCrowd’s Website.
By accessing this website we assume you accept these terms and conditions in full. Do not continue to use RoJCrowd’s website if you do not accept all of the terms and conditions stated on this page.

In general

These terms and conditions (“Agreement”) set forth the general terms and conditions of your use of the rojcrowd.com website (“Website” or “Service”) and any of its related products and services (collectively, “Services”). This Agreement is legally binding between you (“User”, “you” or “your”) and Retrospective of Jupiter (“Retrospective of Jupiter”, “we”, “us” or “our”). By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Website and Services. You acknowledge that this Agreement is a contract between you and Retrospective of Jupiter, even though it is electronic and is not physically signed by you, and it governs your use of the Website and Services.

Scope of services

RoJCrowd runs the website https://rojcrowd.com/, where creators can launch projects and supporters can discover and financially support these projects. These projects are created by the project owners. For their content, for the offered rewards and for the realization the project owner is solely responsible. Copyrights and rights of use remain with the project owner at all times. Supporters decide exclusively on their own responsibility whether they want to support a project. RoJCrowd does not guarantee a successful financing of the projects nor their realization. The creators are solely responsible for the realization of the projects.

Accounts and membership

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and by agreeing to this Agreement you warrant and represent that you are at least 18 years of age. If you create an account on the Website, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account and any other actions taken in connection with it. We may, but have no obligation to, monitor and review new accounts before you may sign in and start using the Services. Providing false contact information of any kind may result in the termination of your account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions. We may suspend, disable, or delete your account (or any part thereof) if we determine that you have violated any provision of this Agreement or that your conduct or content would tend to damage our reputation and goodwill. If we delete your account for the foregoing reasons, you may not re-register for our Services. We may block your email address and Internet protocol address to prevent further registration.

 

User content

We do not own any data, information or material (collectively, “Content”) that you submit on the Website in the course of using the Service. You shall have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use of all submitted Content. We may monitor and review the Content on the Website submitted or created using our Services by you. You grant us permission to access, copy, distribute, store, transmit, reformat, display and perform the Content of your user account solely as required for the purpose of providing the Services to you. Without limiting any of those representations or warranties, we have the right, though not the obligation, to, in our own sole discretion, refuse or remove any Content that, in our reasonable opinion, violates any of our policies or is in any way harmful or objectionable. You also grant us the license to use, reproduce, adapt, modify, publish or distribute the Content created by you or stored in your user account for commercial, marketing or any similar purpose.


Use of User Information

Once a user creates a user profile, some of their information becomes viewable to the public: Nickname, Name, Social Media Channels (if provided), Profile Photo (if provided) and others, including the amount of their donations and the amount of donations they have raised for the relevant projects on the Website. The user profile also indicates which crowdfunding projects they participate in and contribute to. The donor has the option to make her/his donation anonymously. In this case the donor will be marked as “Anonymous” for the public.
However, when placing a donation, the campaign owner will be informed about the receipt of the donation, which will show the donor’s name, email address, phone number and address. This is used so that the campaign owner knows where to send the reward selected by the donor.

Commissions, fees and requests for payouts

After successful completion of a project, the project owner will receive 95% of the total amount paid out to her/his bank account, minus the transaction fees and the development and maintenance of the payment interface, which is about 3%, depending on the country. We use Stripe as our payment gateway. The exact fees can be found here.
This fee split also applies in the case that the funding goal is exceeded. If the previously set funding goal is not reached and/or the project owner does not make a request for a payout, there is no cost to the project owner. The funds that have already been paid in will be refunded to the backers.
Requests for payouts of collected funds can also be made if the fundraising goal has not been reached. Also in this case the campaign owner is obliged to deliver the already ordered rewards to the respective backers.

Deposits and withdrawals

The project owner and backers, when using our service, agree that RoJCrowd may engage third parties to collect funds deposited by backers and project owners to their accounts. For this purpose, backers will be directed to our payment provider Stripe, via the payment gateway. Payouts to project owners and refunds to backers are usually made within 4-10 days via the RoJCrowd account at Stripe or via our Swiss bank account.

Once a withdrawal request is submitted by a campaign owner, we pay out the total amount (minus the 5% and the fees from our payment provider) of a campaign to the bank account chosen by the campaign owner.
Please note: Regardless of whether only a part of the raised funds of a campaign is submitted for withdrawal, we will pay out the entire amount in a single withdrawal to a single bank account.

Project owners and supporters are required to provide RoJCrowd with valid bank details and current address for withdrawal of project funds or refunds of donations. If the withdrawal or refund cannot be made due to lack of correct information provided by the project owner and backer, RoJCrowd will take reasonable measures to locate the project owner and backer. If these reasonable measures are unsuccessful even after more than one year of the last contact with the project owner and backer, RoJCrowd is authorized to deduct a reasonable compensation for the efforts related to the reasonable measures and to donate the remaining amount to RoJCrowd.

The amount paid out to the project owners may exceptionally be less than 95% (and less the payment processing fees, which is about 3%) of the reached funding goal:

  1. if the credit cards used by the backers cannot be charged.
  2. if backers use their right of withdrawal and apply for a refund
  3. if we detect scam and the respective donated amount has not been credited to our account
  4. if we receive the funds too late on the account of RoJCrowd.

Accuracy of information

Occasionally there may be information on the Website that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, availability, promotions and offers. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on the Website or Services is inaccurate at any time without prior notice (including after you have submitted your order). We undertake no obligation to update, amend or clarify information on the Website including, without limitation, pricing information, except as required by law. No specified update or refresh date applied on the Website should be taken to indicate that all information on the Website or Services has been modified or updated.




Third party services

If you decide to enable, access or use third party services, be advised that your access and use of such other services are governed solely by the terms and conditions of such other services, and we do not endorse, are not responsible or liable for, and make no representations as to any aspect of such other services, including, without limitation, their content or the manner in which they handle data (including your data) or any interaction between you and the provider of such other services. You irrevocably waive any claim against Retrospective of Jupiter with respect to such other services. Retrospective of Jupiter is not liable for any damage or loss caused or alleged to be caused by or in connection with your enablement, access or use of any such other services, or your reliance on the privacy practices, data security processes or other policies of such other services. You may be required to register for or log into such other services on their respective platforms. By enabling any other services, you are expressly permitting Retrospective of Jupiter to disclose your data as necessary to facilitate the use or enablement of such other service.


Backups

We are not responsible for the Content residing on the Website. In no event shall we be held liable for any loss of any Content. It is your sole responsibility to maintain appropriate backup of your Content. Notwithstanding the foregoing, on some occasions and in certain circumstances, with absolutely no obligation, we may be able to restore some or all of your data that has been deleted as of a certain date and time when we may have backed up data for our own purposes. We make no guarantee that the data you need will be available.

 

Social media

Please note that we also use footages and thumbnails from your submitted campaigns for social media. We run various social media accounts such as Instagram, where we regularly announce new films on www.rojcrowd.com. For these posts we use these images and the corresponding film descriptions sent in by the filmmaker.
 

Newsletter

By submitting a campaign, you give us permission to send you regular email updates and information about Retrospective of Jupiter and RoJCrowd.
 You can easily unsubscribe from our newsletter by clicking on “unsubscribe” in the footer of such a newsletter or by sending us an email with the subject “unsubscribe”.


Cookies

We employ the use of cookies. By using RoJCrowd’s website you consent to the use of cookies in accordance with RoJCrowd’s privacy policy.
Most of the modern day interactive web sites use cookies to enable us to retrieve user details for each visit. Cookies are used in some areas of our site to enable the functionality of this area and ease of use for those people visiting. Some of our affiliate / advertising partners may also use cookies.

 

Advertisements

During your use of the Website and Services, you may enter into correspondence with or participate in promotions of advertisers or sponsors showing their goods or services through the Website and Services. Any such activity, and any terms, conditions, warranties or representations associated with such activity, is solely between you and the applicable third party. We shall have no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third party.

Billing and payments

You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. Sensitive and private data exchange happens over a SSL secured communication channel and is encrypted and protected with digital signatures, and the Website and Services are also in compliance with PCI vulnerability standards in order to create as secure of an environment as possible for Users. Scans for malware are performed on a regular basis for additional security and protection. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification, and possibly a copy of a recent bank statement for the credit or debit card used for the purchase. We reserve the right to change products at any time. We also reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made.

Unless otherwise stated, RoJCrowd and/or it’s licensors own the intellectual property rights for all material on RoJCrowd. (The published films on this website are excluded. We do not claim any rights for the shown films on this website.) All intellectual property rights are reserved. You may view and/or print pages from https://rojcrowd.com for your own personal use subject to restrictions set in these terms and conditions.
You must not:

  1. Republish material from https://rojcrowd.com
  2. Sell, rent or sub-license material from https://rojcrowd.com
  3. Reproduce, duplicate or copy material from https://rojcrowd.com
  4. Redistribute content from RoJCrowd (unless content is specifically made for redistribution).

User Comments

  1. This Agreement shall begin on the date hereof.
  2. Certain parts of this website offer the opportunity for users to post and exchange opinions, information, material and data (‘Comments’) in areas of the website. RoJCrowd does not screen, edit, publish or review Comments prior to their appearance on the website and Comments do not reflect the views or opinions of RoJCrowd, its agents or affiliates. Comments reflect the view and opinion of the person who posts such view or opinion. To the extent permitted by applicable laws RoJCrowd shall not be responsible or liable for the Comments or for any loss cost, liability, damages or expenses caused and or suffered as a result of any use of and/or posting of and/or appearance of the Comments on this website.
  3. RoJCrowd reserves the right to monitor all Comments and to remove any Comments which it considers in its absolute discretion to be inappropriate, offensive or otherwise in breach of these Terms and Conditions.
  4. You warrant and represent that:
    1. You are entitled to post the Comments on our website and have all necessary licenses and consents to do so;
    2. The Comments do not infringe any intellectual property right, including without limitation copyright, patent or trademark, or other proprietary right of any third party;

  5. You hereby grant to RoJCrowd a non-exclusive royalty-free license to use, reproduce, edit and authorize others to use, reproduce and edit any of your Comments in any and all forms, formats or media.

We reserve the right at any time and in its sole discretion to request that you remove all links or any particular link to our Web site. Removal of links from our website

Prohibited uses

Intellectual property rights

This Agreement does not transfer to you any intellectual property owned by Retrospective of Jupiter or third parties, and all rights, titles, and interests in and to such property will remain (as between the parties) solely with Retrospective of Jupiter. All trademarks, service marks, graphics and logos used in connection with the Website and Services, are trademarks or registered trademarks of Retrospective of Jupiter or its licensors. Other trademarks, service marks, graphics and logos used in connection with the Website and Services may be the trademarks of other third parties. Your use of the Website and Services grants you no right or license to reproduce or otherwise use any of Retrospective of Jupiter or third party trademarks.



 

Limitation of liability

To the fullest extent permitted by applicable law, in no event will Retrospective of Jupiter, its affiliates, directors, officers, employees, agents, suppliers or licensors be liable to any person for any indirect, incidental, special, punitive, cover or consequential damages (including, without limitation, damages for lost profits, revenue, sales, goodwill, use of content, impact on business, business interruption, loss of anticipated savings, loss of business opportunity) however caused, under any theory of liability, including, without limitation, contract, tort, warranty, breach of statutory duty, negligence or otherwise, even if the liable party has been advised as to the possibility of such damages or could have foreseen such damages. To the maximum extent permitted by applicable law, the aggregate liability of Retrospective of Jupiter and its affiliates, officers, employees, agents, suppliers and licensors relating to the services will be limited to an amount greater of one dollar or any amounts actually paid in cash by you to Retrospective of Jupiter for the prior one month period prior to the first event or occurrence giving rise to such liability. The limitations and exclusions also apply if this remedy does not fully compensate you for any losses or fails of its essential purpose.




Indemnification

You agree to indemnify and hold Retrospective of Jupiter and its affiliates, directors, officers, employees, agents, suppliers and licensors harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your Content, your use of the Website and Services or any willful misconduct on your part.




Severability

All rights and restrictions contained in this Agreement may be exercised and shall be applicable and binding only to the extent that they do not violate any applicable laws and are intended to be limited to the extent necessary so that they will not render this Agreement illegal, invalid or unenforceable. If any provision or portion of any provision of this Agreement shall be held to be illegal, invalid or unenforceable by a court of competent jurisdiction, it is the intention of the parties that the remaining provisions or portions thereof shall constitute their agreement with respect to the subject matter hereof, and all such remaining provisions or portions thereof shall remain in full force and effect.




Dispute resolution

The formation, interpretation, and performance of this Agreement and any disputes arising out of it shall be governed by the substantive and procedural laws of Switzerland without regard to its rules on conflicts or choice of law and, to the extent applicable, the laws of Switzerland. The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in Switzerland, and you hereby submit to the personal jurisdiction of such courts. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.




Assignment

You may not assign, resell, sub-license or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent, which consent shall be at our own sole discretion and without obligation; any such assignment or transfer shall be null and void. We are free to assign any of its rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of its assets or stock or as part of a merger.




Changes and amendments

We reserve the right to modify this Agreement or its terms relating to the Website and Services at any time, effective upon posting of an updated version of this Agreement on the Website. When we do, we will revise the updated date at the bottom of this page. Continued use of the Website and Services after any such changes shall constitute your consent to such changes.




Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree to abide by the terms of this Agreement, you are not authorized to access or use the Website and Services.
